Asanya Terms of Use

These Terms of Use govern your access to and use of the Asanya website, platforms, applications, and digital services operated by Urhere Solutions Ltd.

1. Acceptance and Scope

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Urhere Solutions Ltd ("Urhere", "we", "us", or "our"), the operator of Asanya. By accessing or using our website, web application, APIs, or related services (collectively, the "Platform"), you agree to be bound by these Terms.

If you are accessing or using Asanya on behalf of a company, corporate entity, or organisation, you represent and warrant that you have the requisite authority to bind that entity to these Terms. If you do not agree to these Terms, you must immediately cease accessing and using the Platform.

2. Relationship to Specific Commercial Terms

Asanya provides relationship-led growth infrastructure connecting Businesses with Partners. In addition to these general Terms of Use:

In the event of any direct conflict between these general Terms of Use and specific commercial terms (such as Business Terms or Partner Terms), the specific commercial terms will prevail with respect to the conflicting commercial provision.

3. Access, Registration and Security

To access certain features of the Platform, you must register for an account. You agree to:

  1. Provide accurate, current, and complete information during registration and keep your account profile updated;
  2. Maintain the confidentiality of your login credentials, password, and multi-factor authentication (MFA) tokens;
  3. Notify us immediately at security@asanya.io of any unauthorized access, compromise, or breach of your account; and
  4. Take sole responsibility for all activities occurring under your account.

4. Acceptable Use Policy

When using Asanya, you agree that you will not:

  • Use the Platform for any unlawful, fraudulent, deceptive, or unauthorized purpose;
  • Interfere with, compromise, or disrupt the integrity, security, or performance of the Platform or its networks;
  • Attempt to gain unauthorized access to any system, server, account, or database connected to Asanya;
  • Reverse engineer, decompile, disassemble, or derive source code from any software or infrastructure powering Asanya;
  • Use automated scrapers, crawlers, robots, or extraction scripts without express written consent;
  • Submit false, misleading, or manufactured attribution events, fake referral activity, or fraudulent qualifying outcomes;
  • Infringe, misappropriate, or violate the intellectual property, privacy, or statutory rights of Urhere, Businesses, Partners, or third parties.

5. Intellectual Property Rights

All intellectual property rights in the Platform—including but not limited to software code, database architecture, design systems, text, graphics, logos, trademarks, and documentation—are the sole property of Urhere Solutions Ltd or its licensors.

Subject to your compliance with these Terms, Urhere grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for its intended business and operational purposes. No right, title, or interest in any intellectual property is transferred to you.

6. Disclaimers and Service Availability

Asanya is provided on an "AS IS" and "AS AVAILABLE" basis. While Urhere strives for high reliability, continuous uptime, and rigorous security standards as detailed in our Information Security Policy, we do not warrant that the Platform will be error-free, uninterrupted, or entirely secure from malicious cyber attacks.

Unless expressly stated otherwise in writing, Urhere does not act as a bank, financial institution, or custodian of Partner funds. Monetary settlements between Businesses and Partners are executed via licensed third-party payment gateways and are subject to the commercial arrangements established between the participating parties.

7. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Urhere Solutions Ltd, its directors, employees, affiliates, or agents be liable for any indirect, consequential, incidental, special, or punitive damages, including loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of or inability to use the Platform.

Urhere’s total aggregate liability for any claims arising under or related to these Terms shall be limited to the total fees actually paid by you to Urhere for access to the Platform in the three (3) months preceding the event giving rise to liability.

8. Governing Law and Dispute Resolution

These Terms of Use shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles.

Any dispute, controversy, or claim arising out of or in connection with these Terms shall first be resolved amicably through good-faith negotiation between the parties. Where an amicable resolution cannot be reached within thirty (30) days, the dispute shall be submitted to the competent courts of the Federal Republic of Nigeria.
